Direito de escolha da forma de participação no lucro social: uma proposta alternativa ao dividendo mínimo obrigatório

Abstract

A pesquisa visou investigar o regime jurídico do dividendo mínimo obrigatório, a fim de compreender a ratio legis por detrás desse instituto. Adicionalmente, propôs analisar as consequências jurídicas da adoção desse mecanismo jurídico, com o intuito de verificar se o arcabouço normativo existente atende aos objetivos perseguidos pelo legislador quando da positivação do texto original da Lei das Sociedades por Ações, no ano de 1976. Para tanto, pretendeu verificar, por meio da análise de doutrina nacional e estrangeira e tendo em vista a experiência profissional do autor, se o instituto do dividendo mínimo obrigatório é eficiente no Brasil, propondo alterações legislativas à estrutura jurídica existente, como alternativa ao regime jurídico atualmente vigente atinente à repartição do lucro.

The research aimed to investigate the legal regime of the mandatory dividend, in order to understand the ratio legis behind this institute. Additionally, it proposed to analyze the legal consequences of the adoption of this legal mechanism, in order to verify whether the existing normative framework meets the objectives pursued by the legislator when the original text of the Corporation Law was adopted in 1976. Thus, it intended to verify, through the analysis of national and foreign doctrine and in view of the author's professional experience, whether the institute of the mandatory dividend is efficient in Brazil, proposing amendments to the existing legal structure, as an alternative to the current legal regime regarding to profit sharing.
