Abstract

This paper analyses the changes in corporate governance, focusing on its attributed traits and their effects on the roles and responsibilitiesof the board of directors of Brazilian companies, considering the changes caused by globalization, privatization and the new global businessstructure. A quantitative research was carried out in the 300 largest Brazilian companies listed in Bovespa (São Paulo Stock Exchange), investigating the corporate officers perceptions of those changes. Findings point out that corporate officers are more concerned with the board controlling role, although some importance is also given to the strategic role.
