Conceito jurídico de empresa: uma interpretação à luz da sua função social

Abstract

This article aims to present the social function of the company influence over the concept of the company. The knowledge over social function of the company is not pacific, however it is consensual the Constitution of 1988 consecrates it as a principal of the economics order. The constitutionalization of private law is determinant over the effects of the principal of social function of the company. The central point of this work is to verify if a concept of the company exists, if it fits the principal of the social function of the company required by the Constitution. Among the theories of the acts of commerce, of the company and of the firm, this last one tends to explain the phenomenon of the company in a way more congruent with the social function of the company.

A monografia trata acerca da influência que a função social da empresa exerce sobre o conceito de empresa. O entendimento sobre a função social da empresa não é pacífico, mas é consensual que a Constituição de 1988 o consagrou como princípio da ordem econômica. A constitucionalização do direito privado é determinante para os efeitos do princípio da função social da empresa. O ponto central do trabalho é verificar se existe um conceito de empresa que se adeque ao princípio da função social da empresa exigido pela Constituição. Dentre as teorias dos atos de comércio, da empresa e da firma, esta última tende a explicar o fenômeno da empresa de modo mais congruente com a função social da empresa.
